Terms of Service

1. Agreement to Terms

By accessing or using services provided by Sid Techno LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services.

2. Services

Sid Techno LLC provides software development services including but not limited to website development, web application development, mobile app development, Shopify app and store development, CMS development, and graphic design/UI/UX services. We also operate SaaS products including DeployBase, TradeLeap, ClearAgent, and DeskLeap.

3. Client Obligations

Clients agree to provide timely feedback, necessary access credentials, content, and approvals required for project completion. Delays caused by the client may result in timeline adjustments. Clients are responsible for the accuracy and legality of all content provided to us.

4. Payment Terms

Payment terms are defined in individual project proposals or service agreements. Unless otherwise agreed, payments are processed via Stripe or bank transfer. Recurring services are billed monthly. Late payments may incur a 1.5% monthly interest charge. All prices are in USD unless otherwise specified.

5. Intellectual Property

Upon full payment, clients receive ownership of custom-developed code and designs created specifically for their project. We retain the right to use general-purpose code, libraries, frameworks, and methodologies developed during the project. Third-party licenses remain subject to their respective terms.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. This includes business strategies, technical architectures, credentials, and any data marked as confidential.

7. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. We provide a 30-day warranty period after project delivery for bug fixes related to the agreed scope. Services are provided "as is" beyond the warranty period. We do not guarantee specific business outcomes, rankings, or revenue results.

8. Limitation of Liability

To the maximum extent permitted by law, Sid Techno LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

9. Termination

Either party may terminate a project engagement with 15 days written notice. Upon termination, the client is responsible for payment for all work completed up to the termination date. For SaaS subscriptions, termination takes effect at the end of the current billing cycle.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the United States. Any disputes shall be resolved through good-faith negotiation, and if necessary, through binding arbitration.

11. Changes to Terms

We reserve the right to update these terms at any time. Changes will be posted on this page with an updated date. Continued use of our services after changes constitutes acceptance of the revised terms.
